Terms of Service & License Agreement

1. ACCEPTANCE OF TERMS

By downloading, installing, purchasing, or using TimecodeLink ("the

Software"), you accept and agree to be bound by these terms. If you do

not agree, please do not use the Software.

2. DESCRIPTION OF SOFTWARE

TimecodeLink is desktop software that synchronizes DJ software (Rekordbox,

Serato DJ Pro, Pioneer CDJ/XDJ hardware) with show control systems by

generating SMPTE timecode outputs (MTC, Art-Net, LTC). The Software is

provided "as-is" and may be updated or discontinued at any time.

3. LICENSE GRANT

Subject to these Terms and payment of applicable fees, we grant you a

limited, non-exclusive, non-transferable license to download and use the

Software for personal or professional DJ performances and show production.

The license is granted to you as an individual. You may install the

Software on multiple devices you own, but the license may not be shared,

resold, or transferred to other users.

4. PAYMENT & REFUNDS

Pricing and payment terms are displayed at the time of purchase. All fees

are non-refundable except where required by applicable law or at our sole

discretion.

If you experience technical issues that prevent the Software from

functioning, contact us within 14 days of purchase. We will attempt to

resolve the issue or may offer a refund at our discretion.

5. USER CONDUCT

You agree not to:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works based on the Software
• Redistribute, sell, rent, lease, or sublicense the Software
• Use the Software to circumvent copy protection or DRM systems
• Remove or alter any proprietary notices in the Software
• Share license keys or authentication credentials with others

6. INTELLECTUAL PROPERTY

Your Content: You retain all rights to your track mappings, timecode

configurations, and show data.

Our IP: The Software code, design, and branding are owned by Live Show

Systems LLC and protected by copyright laws. "TimecodeLink" and associated

logos are trademarks of Live Show Systems LLC.

7. THIRD-PARTY SOFTWARE & COMPATIBILITY

TimecodeLink integrates with third-party software and hardware. We are not

affiliated with, endorsed by, or connected to any third-party vendors.

NO COMPATIBILITY GUARANTEE: Third-party software and hardware vendors may

release updates that affect TimecodeLink's functionality. We make no

warranty that the Software will remain compatible with future versions of

Rekordbox, Serato DJ Pro, Pioneer hardware firmware, macOS, or any other

third-party platform. We are not liable for any downtime or functionality

loss caused by third-party updates.

TimecodeLink is an independent project and is not affiliated with, endorsed

by, or connected to Sony Corporation or its "Wireless Time Code Link"

products.

8. BETA FEATURES & INTERNET-DEPENDENT INTEGRATIONS

Certain integrations within the Software are designated as "Beta" and may

require an active internet connection for authentication or operation.

Currently designated Beta integrations:

• Serato DJ Pro (requires internet connection for authentication)
• CDJ/XDJ via PRO DJ LINK

Beta integrations are provided on an "as-is" basis and may be less stable

than non-beta features. They rely on third-party authentication services

and network connectivity that are outside our control. Beta integrations

may be modified, degraded, or discontinued at any time without notice due

to changes by third-party vendors.

YOU ACKNOWLEDGE THAT BETA INTEGRATIONS REQUIRING INTERNET CONNECTIVITY

ARE NOT SUITABLE AS A SOLE TIMECODE SOURCE FOR MISSION-CRITICAL LIVE

PRODUCTIONS. You are solely responsible for ensuring backup timecode

sources and redundancy when using Beta features in live environments.

9. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR

IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY,

FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Software will meet your specific requirements
• The Software will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Software will be accurate or reliable
• The Software will be compatible with all hardware or software configurations
• The Software will remain compatible with future versions of third-party platforms

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVE SHOW SYSTEMS LLC SHALL NOT BE LIABLE

FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES,

INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Show cancellations, delays, or disruptions
• Reputational harm or loss of goodwill
• Equipment damage or malfunction
• Any claims by third parties (venues, promoters, clients)

LIABILITY CAP: Our total liability for any claim arising from the Software

shall not exceed the amount you paid for the Software license in the twelve

(12) months preceding the claim, or $100 USD, whichever is greater.

You acknowledge that live performances involve inherent risks. You assume

full responsibility for backup systems, contingency plans, and

professional-grade redundancy appropriate for your production.

11. HEALTH & SAFETY WARNING

PHOTOSENSITIVITY WARNING: TimecodeLink may be used to control lighting and

laser systems that produce flashing lights or strobing effects. Such effects

may trigger seizures in people with photosensitive epilepsy.

The user is solely responsible for ensuring that lighting shows comply with

local health, safety, and venue regulations. Live Show Systems LLC is not responsible

for any health incidents related to lighting effects controlled via the

Software.

12. UPDATES AND MODIFICATIONS

We may release updates to the Software at our discretion. Updates may add,

modify, or remove features. We reserve the right to modify these Terms at

any time. Continued use of the Software after changes constitutes acceptance

of the new Terms.

13. TERMINATION

We may terminate your license to use the Software at any time if you violate

these Terms. Upon termination, you must cease all use of the Software and

delete all copies. No refund will be provided for termination due to Terms

violations.

14. GOVERNING LAW

These Terms shall be governed by the laws of the State of Maryland, United

States, without regard to conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts

located in Montgomery County, Maryland.

15. TRADEMARK ATTRIBUTIONS

The following trademarks are the property of their respective owners:

• Ableton AG: Ableton Link
• Pangolin Laser Systems: BEYOND

• Sony Corporation: Wireless Time Code Link
• TC Supply / Event Imagineering Group: ShowKontrol, BeatKontrol

trademarks is for identification and compatibility purposes only and does

not imply endorsement.
